Our board of directors currently consists of 11 members. Aneel Bhusri serves as CEO and as chair, and Mark Hawkins is vice chair and lead independent director. Other board members include Tom Bogan; Liz Centoni; Lynne Doughtie; Wayne A.I. Frederick, M.D.; Mike McNamara; Rhonda Morris; Michael Speiser; George Still, Jr.; and Jerry Yang. Each of our directors other than Aneel Bhusri is “independent” as defined by the rules of the Nasdaq Global Select Market. We have a classified board of directors, with each class serving staggered three-year terms. In addition, we have established an Audit Committee, a Compensation Committee, a Nominating and Governance Committee, and an Investment Committee.
